Terms & Conditions

Last updated: October 27, 2026

These terms apply to your use of this website and to services provided by Vekcel ("we", "us"). By using the website or engaging us, you agree to them. Project-specific terms in a written proposal or contract take priority if they conflict with these.

1. Our services

We provide web development, AI agent development, AI automation, mobile app development, e-commerce development, payment gateway integration, digital marketing, CRM solutions and SaaS development. The scope, deliverables, timeline and price of each project are set out in a written proposal, estimate or agreement.

2. Quotes and agreements

  • Estimates are based on the information you give us and are valid for the period stated.
  • Work begins once both sides accept the proposal and any agreed deposit is received.
  • Requests outside the agreed scope are quoted separately before work starts, and may affect the timeline.

3. Payment

Fees, milestones and due dates are stated in the proposal or invoice. Late payments may pause work and may incur interest or recovery costs where the law allows. Third-party costs (domains, hosting, licences, ad spend, app-store fees, payment gateway fees, AI or API usage) are paid by you unless we agree otherwise in writing.

4. Your responsibilities

  • Provide accurate information, content, access and timely feedback.
  • Make sure you have the rights to the text, images, data and brand assets you give us.
  • Follow the laws and platform rules that apply to your business, including consumer, advertising, privacy and payment-card rules.

5. Ownership and intellectual property

Once we have been paid in full, you own the custom code and deliverables created specifically for you. We keep ownership of our pre-existing tools, frameworks and know-how and grant you a licence to use them as part of your deliverables. Third-party and open-source components stay under their own licences. We may show non-confidential project work in our portfolio unless you ask us not to.

6. AI and automation

AI agents and automations can produce incorrect or unexpected output. Outputs should be reviewed by a person before being relied on for important decisions. You are responsible for how you use them, and for the data you connect to them and the third-party AI providers they use.

7. Payments, e-commerce and third-party platforms

Payment processing is provided by your chosen payment provider under its own terms. We integrate it but are not a payment processor, bank or financial adviser. We do not control third-party platforms (such as Shopify, ad networks, app stores, CRM or cloud providers). Their outages, policy changes, fees or account actions are outside our control.

8. Digital marketing

We work to improve visibility, traffic and campaign performance, but search engine and advertising results depend on factors outside our control. We do not guarantee specific rankings, traffic, leads or sales.

9. Delivery, testing and support

We test our work before delivery. After launch, a short period to report defects in the agreed scope may be stated in your proposal. Ongoing maintenance, hosting and support are provided only if agreed in writing.

10. Confidentiality

Each party will keep the other's non-public business information confidential and use it only for the project. We will sign a separate NDA on request.

11. Warranty disclaimer and limit of liability

The website is provided "as is". To the extent the law allows, we exclude implied warranties and are not liable for indirect or consequential loss, lost profit, lost data or business interruption. Our total liability for any claim relating to a project is limited to the fees you paid us for that project. Nothing here limits liability that cannot be limited by law.

12. Termination

Either party may end a project in writing if the other materially breaches these terms and does not fix it within a reasonable time. You pay for work completed and costs incurred up to the termination date.

13. Website use

You agree not to misuse this website, attempt to gain unauthorised access, introduce malicious code, or send spam through our contact form.

14. Governing law

These terms are governed by the laws of [Country / State], and disputes are subject to the courts there, unless a project agreement states otherwise.

15. Changes

We may update these terms. The version published here on the "Last updated" date applies to your use of the website. Signed project agreements are not changed without your consent.
